This License Agreement (“Agreement”) is a legal contract between you (“Licensee”) and SKMG GROUP LIMITED (“3dmaxa”, “we”, or “us”), governing the terms under which you may use 3D models purchased or licensed through the 3dmaxa website (https://3dmaxa.com).
By purchasing, downloading, or using any 3D model (“Content”) from 3dmaxa, you agree to comply with the terms and conditions set forth in this Agreement. If you do not agree to these terms, you are prohibited from using the Content and must immediately cease any use.
License Grant
Subject to your compliance with this Agreement, 3dmaxa hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to use the 3D models in accordance with the terms specified below. This license is for the duration stated at the time of purchase, or if no duration is specified, it is perpetual.
Permitted Uses
You may use the licensed Content in the following ways:
Personal Use: You may use the Content for personal, non-commercial projects, such as personal renders, animations, game prototypes, or portfolio work.
Commercial Use: You may use the Content for commercial projects, including but not limited to games, films, advertising, architectural visualizations, product presentations, and other commercial media, provided that the Content is used as part of a broader creative project and not as a standalone product for resale.
Alterations: You may modify or adapt the Content to fit your project needs, provided the resulting work still complies with the terms of this Agreement.
Prohibited Uses
The following uses of the Content are strictly prohibited:
Resale or Redistribution: You may not resell, redistribute, or otherwise make the Content available for download as is, whether in its original form or as part of a larger collection, on any platform or marketplace.
Use in Trademarks or Logos: You may not use the Content as part of any trademark, service mark, logo, or any other branding that could suggest ownership of the Content.
Sublicensing: You may not sublicense the Content to any third party or use it to create derivative products intended for resale where the Content forms a significant part of the value.
Offensive or Unlawful Use: You may not use the Content in any way that violates applicable law or promotes defamatory, obscene, offensive, or inappropriate material.
Ownership and Intellectual Property
All rights, including copyright, in and to the 3D models are owned by SKMG GROUP LIMITED. This license grants you limited rights to use the Content, but it does not transfer ownership of any intellectual property rights. You acknowledge and agree that 3dmaxa retains full ownership of the Content and that you will not claim any proprietary rights to the Content, modified or otherwise.
Termination of License
3dmaxa reserves the right to terminate this license at any time if you breach any terms of this Agreement. Upon termination, you must immediately cease using the Content and delete any copies of the Content in your possession, whether in physical or digital form.
Refunds and License Cancellations
3dmaxa may, at its sole discretion, issue refunds or cancel licenses under certain circumstances, such as errors in the licensing process. However, once you download the Content, the license is considered non-refundable, except where required by law.
Disclaimer of Warranties
The Content is provided “as is” without any warranties or guarantees, express or implied. 3dmaxa does not warrant that the Content will meet your requirements or that its use will be uninterrupted or error-free. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
In no event shall 3dmaxa or its officers, directors, employees, or agents be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Content. In any event, 3dmaxa’s total liability shall be limited to the amount you paid for the Content.
Indemnification
You agree to indemnify, defend, and hold harmless 3dmaxa and its affiliates, officers, agents, and employees from any claims, damages, losses, liabilities, and costs (including reasonable attorneys’ fees) arising from your use of the Content in violation of this Agreement or applicable law.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England. Any disputes arising under or related to this Agreement shall be submitted to the exclusive jurisdiction of the courts located in London, England.
